Define the mandate

The mandate becomes an explicit, saved filter set: U.S. and Canadian operating companies, US$10–50 million EBITDA, current controlling PE ownership, held six years or longer. Discovery bands for older holds and a wider EBITDA range are kept as separate views, not silently merged.

Discover and resolve companies

The discovery agent retrieves candidates from the licensed company backbone and from BDC investment schedules, then links borrower LLCs, holding companies, brands, and operating businesses into one record per company. Loan positions stay separate; businesses are deduplicated.

Establish ownership and hold period

The ownership verifier builds a dated timeline of acquisition announcements, closing dates, owning funds, recapitalizations, continuation-fund transfers, and exits. A long hold is recorded as a fact; sale intent is never inferred from it.

Qualify fit and explain why now

The financial qualifier reconciles dated EBITDA, currency, and definitions, distinguishing reported from estimated figures. The briefing editor ranks each company on acquisition fit, seller pressure, business risk, and evidence confidence — shown separately, never blended into one score.

Human-in-the-loop control

The managing director decides which owners to approach and who makes the call. Agents research and rank; they never contact a company, sponsor, or intermediary.
