Share Repurchase Program

Adecoagro operates an active share-repurchase (buyback) program originally approved by the Board on September 12, 2013 to acquire up to 5% of outstanding shares as treasury shares, conducted in open-market transactions under Rule 10b-18. On December 11, 2024 the Board renewed the program for a further 12 months, through December 31, 2025, authorizing repurchases of up to an additional 5% of equity. The company repurchased US$10.2 million of shares in 2025 (about 1.1% of equity), following US$66.9 million in 2024 and US$26.2 million in 2023; cumulatively 32,299,783 shares had been repurchased under the program as of December 31, 2025 (of which 10,142,208 were applied to stock-option and restricted-share plan settlements). In addition, Adecoagro pays a cash dividend: US$35.0 million was distributed in 2025 (total 2025 shareholder distribution of US$45.2 million including buybacks), and the Board approved a further US$35.0 million cash dividend for 2026 (paid in two equal US$17.5 million installments in May and November), subject to AGM approval.

Customer Concentration

As a diversified agro-industrial commodity producer, Adecoagro sells sugar, ethanol, grains, rice, dairy and fertilizer to a broad base of domestic and export off-takers, and no single customer concentration is highlighted at the consolidated level. The clearest concentration is in the Fertilizers segment (Profertil): because Argentina is a net importer of urea, substantially all of Profertil's production is sold domestically at import-parity prices, with approximately 86% of fertilizer sales conducted through a large-account channel corresponding to its eight largest customers and roughly 12% through a network of wholesale distributors. In sugar, ethanol and energy, output is sold to sugar traders, fuel distributors and, for cogenerated electricity, under long-term power contracts; energy is sold into Brazil's regulated and free markets.
