Tuck-ins that extend the real-time engagement platform.
Agora’s two acquisitions each bolted an adjacent capability onto its core voice and video PaaS — Netless added real-time interactive whiteboarding and Easemob added instant-messaging APIs. Agora described the Easemob deal as one made “to complement our core real-time engagement offerings.”

Capital deployment
A China-centric acquisition footprint.
Both targets were China-based, matching Agora’s dual structure as a Cayman-incorporated, US-listed company that runs its domestic operations through the Shengwang business. Easemob was purchased outright from its shareholders, and its instant-messaging capability was folded into Agora’s PaaS platform.

Integration approach
Fundamentally an organic-growth company — and both deals were written down.
Agora has made no acquisitions since 2021. The Netless goodwill (US$3.1M) was fully impaired by the end of 2022, and the Easemob goodwill (US$53.1M) was partly impaired in 2022 before Agora divested Easemob’s customer-engagement cloud business in early 2023 and fully impaired the remaining US$31.9M. The RTE-PaaS platform has since grown without further M&A.

On November 27, 2020, shortly after its Nasdaq IPO, Agora acquired 100% of the equity of Netless, a provider of real-time interactive whiteboard technology. The deal added roughly US$0.2 million of developed technology (amortized over five years) and US$3.1 million of goodwill; total consideration, split between cash and share-based awards to Netless staff who joined Agora, was not separately disclosed.

  • Interactive whiteboarding is a natural companion to real-time voice and video in online education and collaboration use cases

On February 28, 2021, Agora acquired 100% of the equity of Easemob from its shareholders for cash consideration of US$53.4 million. China-based Easemob provided instant-messaging APIs and customer-engagement cloud services. Agora recorded US$4.2 million of customer relationships, US$4.0 million of developed technology, and US$53.1 million of goodwill. Easemob’s instant-messaging business aligned with Agora’s PaaS model, but its customer-engagement cloud business had limited synergies and was divested in early 2023.
