During the year ended December 31, 2025, Axalta repurchased 5.3 million common shares for total consideration of $165 million under the $700 million program. The pending Merger Agreement with AkzoNobel N.V. prohibits Axalta from repurchasing shares without AkzoNobel's prior written consent, so no further repurchases are assured. Axalta does not pay a dividend on its common shares.
