Three patterns run through Dell's acquisitions — what it looks for, how it pays, and how it folds in what it buys.
01
Acquisition criteria
One transformational deal amid dozens of tuck-ins.
The ~$67 billion EMC merger in 2016 dwarfs everything else Dell has ever bought and redefined the company — it converted a PC-and-server maker into Dell Technologies, an end-to-end infrastructure company with EMC's storage franchise and a controlling stake in VMware. Every other deal in the book is a sub-$4-billion capability tuck-in by comparison.

02
Capital deployment
Buy the enterprise stack a PC company lacked.
Between 2007 and 2013 Dell ran a sustained, almost-always-all-cash buying spree that assembled an enterprise-solutions portfolio piece by piece: storage (EqualLogic, Compellent), networking (Force10), security (SecureWorks, SonicWALL, Credant), and systems management and software (KACE, Quest Software, Boomi, AppAssure). The goal was consistent — pivot from boxes to solutions and services and give customers a broader range of IT capabilities from one vendor.

03
Integration approach
Acquire, integrate, then divest to delever.
Much of what Dell bought it later sold to pay down the debt from the EMC deal — Quest Software and SonicWALL went to Francisco Partners and Elliott in 2016, Dell Services (built on Perot Systems) went to NTT Data in 2016, and RSA, Boomi and the VMware stake were divested in 2020-2021. Those divestitures are excluded from this deal book, which covers acquisitions only.

The Full Deal Book
26 acquisitions — each with the deal value, financing structure, target revenue, and executive commentary where disclosed.
Dell (through parent Denali/Dell Technologies) acquired data-storage and information-management giant EMC Corporation, together with EMC's controlling stake in VMware, in what was at the time the largest technology acquisition ever. Each EMC share was converted into $24.05 in cash plus 0.11146 of a share of a new Class V tracking stock (NYSE: DVMT) tracking Dell's economic interest in VMware. The combination created Dell Technologies, an end-to-end provider spanning PCs, servers, storage, networking, security and cloud software. ~$67 billion (approximately $58.7B total consideration transferred; ~$64.0B total purchase price allocated per the FY2017 10-K).
Why it was attractive
EMC's storage arrays
data-protection portfolio and ~81% ownership of VMware gave Dell the enterprise data-center franchise its PC-and-server base lacked
The combination of Dell and EMC creates the world's largest privately-controlled, integrated technology company, spanning personal computers to data-center infrastructure.Paraphrased from Dell Technologies' description of the EMC merger — FY2017 Form 10-K, Note 3 — Business Combinations
