Illinois Tool Works acquires Click Commerce, Inc.

Illinois Tool Works acquired Click Commerce, Inc. for approximately $300.2 million (transaction valuation; $22.75 net per share in cash), a transaction completed in October 2006, structured as all cash (cash tender offer).

Click Commerce, Inc. operates in Supply/demand chain management software, is based in Chicago, Illinois. Click Commerce was a provider of on-demand supply and demand chain management software and consulting, hosting and related services that enable users throughout the world to collaborate, in real time, with business partners across an extended enterprise.

ITW, through its wholly owned subsidiary ITW Leap Corp., commenced a cash tender offer for all outstanding shares of Click Commerce common stock at $22.75 net per share, pursuant to a Merger Agreement dated September 5, 2006 among Click Commerce, Illinois Tool Works Inc. and ITW Leap Corp.
