Share Repurchase Program

Total authorized
On January 25, 2024, the Board of Directors authorized the repurchase of up to an additional three million shares of common stock. Repurchases may be made from time to time at prevailing market prices through open market or privately negotiated transactions; no completion date has been established and the company is not obligated to repurchase any shares.
Remaining (Fiscal year ended August 31, 2025)
As of August 31, 2025, approximately 3.3 million shares remained available for repurchase under the Board's authorization.
Latest FY repurchased
During fiscal 2025 Acuity repurchased approximately 0.4 million shares of its outstanding common stock. Cumulative treasury stock stood at an original repurchase cost of approximately $2.65 billion as of August 31, 2025 (up from $2.53 billion a year earlier).

Customer Concentration

No individual customer accounted for more than 10% of net sales during fiscal 2025, 2024 or 2023. Acuity's customer base is diversified across independent sales agents, electrical distributors, retail and home-improvement channels, digital/e-commerce, wholesale electrical distributors, national accounts, system integrators and OEM customers, though the loss of, or a substantial decrease in purchases by, certain larger customers could harm the business.
